Lead Independent Director
The Lead Independent Director is the point of contact within the Board for co-ordinating the independent Directors’ requests and contributions.
In accordance with best international practice, at a Board meeting held on 23 November 2023, the Directors of Mediobanca reappointed Angela Gamba, an independent Director appointed from the minority list, as Lead Independent Director.
The Lead Independent Director is responsible for the following duties:
- Convening and presiding over meetings of the independent Directors, to discuss matters of interest regarding the functioning of the Board of Directors;
- Serving as a point of contact within the BoD for co-ordinating the independent Directors’ requests and contributions;
- Working together with the Board Chairman to ensure that Directors receive exhaustive and timely reporting flows on the Bank’s operations;
- Performing the role of spokesperson in the Board evaluation process with regard to the functioning, size and composition of the Board of Directors and its Committees;
- Performing any other duties that may be assigned by the BoD from time to time, in particular on strategic issues and/or extraordinary transactions.
