How our teams work

Our corporate finance teams look to establish long-term relationships with a small number of select companies, offering them high-quality, innovative and focused services on an ongoing basis. We are set up and structured in order to meet the needs of medium-sized enterprises effectively, offering them a combination of services unsurpassed in Italy in terms of geographical coverage, international reach, and global servicing capacity.

The activities which the Corporate Finance teams provide to their customers include:

  • Definition of strategic objectives and identification of which corporate finance deals would meet these goals
  • Corporate finance deals: mergers and acquisitions, joint venture and partnerships, disposals and spinoffs
  • Debt restructuring: analysis of the company’s earnings and financial data, compiling financial stability scenarios, negotiating with key creditors
  • Corporate restructuring (LBOs, MBOs, spinoffs, tax- and/or succession-related issues) and shareholder agreements (negotiations with other shareholders, drafting of agreements, identification of potential new investors)
  • Company valuations, both on a standalone basis and in order to determine share exchange ratios
  • Relations with institutional bodies: assistance in relations with market and regulatory authorities, such as Consob and Borsa Italiana
